How does a source code escrow arrangement come about?

The software vendor provides the source code under strict conditions to Escrow Alliance, as an independent escrow agent. We manage this source code in a special and well-secured repository where no one can access it.
There are two basic variations.

Individual escrow arrangement

Also sometimes referred to as three-party or closed escrow arrangements. It is an agreement between:

  • The owner of the software (the software vendor)
  • Its customer (the software user), or beneficiary
  • Escrow Alliance as an independent executor of the escrow arrangement

Collective escrow arrangement

Also sometimes referred to as two-party, master or open escrow arrangements. Multiple customers of the vendor then use the same software. Then the agreement is made between the supplier and Escrow Alliance. Customers of the software vendor can be signed up as a beneficiary (participant) on the prepared escrow arrangement. You can also implement both variants of escrow arrangements in a distribution or reseller variant if the software was provided through a distributor or reseller.
